LocaYo Partner Program Terms

Version 2.1

Last updated: 24 September 2026

Effective date: 24 September 2026 (for Partners who accepted version 2.0: 24 October 2026)

Summary

This summary is informational. The numbered sections below are what binds.

  • Partners refer businesses to paid LocaYo plans and earn 50% of that company's first paid invoice.
  • Every invoice after that pays 20%, 25% or 30% depending on how many companies in the Partner's portfolio are actively paying. There is no end date: the commission runs for as long as the company keeps paying. Commission is calculated on amounts excluding VAT.
  • A company that signs up with a Partner code gets 30 days free, then 50% off for 3 months.
  • An entity running a registered business (sole trader or company) is paid by bank transfer against an invoice.
  • Someone without a business can refer too — their commission converts into credit towards their own LocaYo purchases (subscription, boosts) instead of a transfer.
  • Payouts on the 5th of each month, from PLN 100 of balance, after a 30-day protection period covering refunds.
  • Partners have no targets, no minimums and no exclusivity. They refer whenever they want.
  • Referring yourself or related entities is prohibited and voids the commission from those referrals.
  • Changing the terms requires a valid reason from a closed list and 30 days' notice, and applies to invoices paid after it takes effect.

§1. Parties, subject matter and legal character

  1. The Partner Program (the Program) is operated by Next Orbit OÜ, Sepapaja 6, 15551 Tallinn, Estonia, registry code 17501338, owner of the LocaYo platform (locayo.app), hereinafter the Operator.
  2. The subject matter of this agreement is the voluntary referral by the Partner of paid LocaYo subscription plans to third parties (each a Company), and the payment of commission to the Partner on invoices those Companies pay, under §2.
  3. Legal character. The Partner acts solely in its own name and for its own account. This agreement is not a commercial agency agreement within the meaning of Article 758 of the Polish Civil Code, nor a brokerage agreement. In particular, the Partner:
    • has no obligation to act as a permanent intermediary or to perform any activity at all — there are no minimums, targets or quotas;
    • holds no exclusivity, whether territorial, sectoral or otherwise;
    • is not authorised to conclude contracts, make declarations of will, accept payments or handle complaints on behalf of the Operator;
    • is not an employee, representative or contractor of the Operator and must not present itself as one.
    The contract between a Company and the Operator is concluded directly between them, without the Partner's participation.
  4. The agreement is concluded when the Partner accepts these Terms in the LocaYo panel (Articles 60 and 772 of the Polish Civil Code). The Operator records the accepted version of the Terms, the date, time and IP address of acceptance, and sends the Partner a confirmation together with the Terms by e-mail.
  5. The agreement is concluded for an indefinite term. Termination is governed by §8.

§2. Commission

  1. First commission: 50% of the first invoice paid by a Company referred by the Partner. It becomes due once the Company's payment is booked.
  2. Recurring commission: 20%, 25% or 30% of every subsequent invoice paid by that Company, according to the tier set out in §2a. The recurring commission is payable with no time limit, for as long as the Company keeps paying its subscription.
  3. Commission is calculated on the amount actually paid by the Company, excluding VAT. Where the Company benefits from a discount (including the 50% discount granted for signing up with a Partner code), commission is calculated on the discounted amount.
  4. No commission is due on amounts the Company has not paid, nor on free periods (including the 30-day trial).
  5. A change of the Company's plan (up or down) changes the commission base proportionally, without affecting the entitlement itself.
  6. Applicable rate. Each commission is calculated at the rate in force on the day the Company paid the invoice to which it relates. Commission already accrued is not affected.
  7. All commission amounts are net. The Partner adds VAT where required to do so.
  8. Cancellation of a subscription by a Company stops the recurring commission from the first unpaid invoice onwards. Commission already accrued remains payable, subject to §2b.

§2a. Commission tiers

  1. The recurring commission rate depends on the number of Companies actively paying that were referred by the Partner:
    Actively paying CompaniesRecurring commission
    1–420%
    5–925%
    10 or more30%
  2. The tier applies to all of the Partner's Companies, including those referred earlier.
  3. A Company counts as actively paying if it holds an active paid subscription at the moment the commission is calculated. A Company that has cancelled or is in arrears is not counted — the tier can therefore go up as well as down.
  4. The current tier and the number of Companies counted towards it are shown in the Partner panel.

§2b. Refunds, chargebacks and corrections

  1. If a payment is refunded to a Company, charged back, or the invoice is cancelled within 90 days of payment, the commission accrued on that invoice is reversed.
  2. Where the commission has already been paid out, the Operator offsets the amount against the Partner's next payouts. Where offsetting is not possible, the Partner returns the amount within 14 days of a request.
  3. If commission is miscalculated due to a technical error, the Operator corrects the Partner's balance and informs the Partner without delay, stating the reason.
  4. The Partner is notified of every reversal or correction, together with the invoice it concerns.

§3. Who can become a Partner

  1. The Program runs in two settlement tracks:
    • Partner settled by invoice — a natural person running a sole proprietorship, a legal person, or an organisational unit with legal capacity. Commission is paid by bank transfer against an invoice (§6).
    • Participant settled by credit — a natural person not running a business. Commission is not paid in money; it converts into credit towards that person's own purchases on LocaYo (§6a).
    The Operator makes no cash payments to persons who do not run a business.
  2. Participation takes place within the Partner's business activity, and commission constitutes revenue of that business.
  3. The Partner provides a tax identification number and, for companies, the registered name and legal form. The Operator may at any time request documents confirming these details; failure to provide them suspends payouts until they are supplied.
  4. Employees and regular contractors of the Operator, and their immediate family members (ascendants, descendants, siblings, spouses, and spouses' siblings and parents), may not take part in the Program.
  5. The Partner is solely responsible for its own tax and public-law obligations relating to the commission received. The Operator is not a tax or social-security remitter for the Partner.

§4. Partner obligations

  1. Accuracy. The Partner presents LocaYo truthfully and makes no claims about features the platform does not have, nor promises about results, earnings or job volume. Where in doubt, the Partner clears the wording with the Operator before publishing it.
  2. Transparency. The Partner's materials must make clear that they come from the Partner rather than the Operator, and must be labelled as advertising where the law requires it.
  3. Current pricing. The Partner keeps prices and terms shown in its own materials in line with the current LocaYo price list.
  4. Marketing law. The Partner complies with the GDPR and with Article 398 of the Polish Electronic Communications Law. Direct marketing by phone or electronic means requires the recipient's prior consent.
  5. Respect for third-party communities. The Partner does not promote LocaYo on forums, groups or services it does not own in a manner contrary to their rules or objected to by their members or administrators.
  6. Upon a justified request from the Operator, the Partner removes the identified material or link to LocaYo within 48 hours.
  7. The Partner may use LocaYo marks and logos solely for the purpose of the Program, without modification, and only while participating in it.

§5. Prohibited conduct and abuse prevention

  1. No self-referral. No commission is due for a Company owned or controlled by the Partner, or connected with it personally, financially or organisationally. The Partner declares that referred Companies are independent of it.
  2. No commission is due either where the Company:
    • was already a LocaYo customer or held a paid subscription within the last 12 months;
    • was previously attributed to another Partner — in case of conflict, the code actually used at registration prevails;
    • was created solely to generate commission (a sham account).
  3. The following are prohibited in particular:
    • interfering with cookies, browser storage, LocaYo scripts or APIs in a way that affects attribution;
    • setting or assigning the Partner code automatically or covertly, without a deliberate action by the Company;
    • using bots, traffic generators, click farms or artificial traffic;
    • creating or registering sham accounts and manipulating data to inflate referral counts;
    • running ad campaigns on terms containing the "LocaYo" brand, or broad campaigns without excluding that term;
    • distributing the code through coupon sites, discount browser extensions or third-party affiliate networks;
    • impersonating the Operator or suggesting the Partner acts on its behalf.
  4. Verification. The Operator verifies Company uniqueness by tax number, e-mail address and phone number, and may manually correct commissions where connections not caught automatically come to light.
  5. Consequences. A breach of paragraphs 1–3 entitles the Operator to reverse commission from the referrals affected by the breach and, in the case of a serious or repeated breach, to exclude the Partner from the Program. Pending clarification, the Operator may withhold the disputed amounts, informing the Partner of the reason and the expected timeline.
  6. A breach is deemed established when the Operator obtains credible information or evidence of it, whether from a Company, another Partner, a public authority or its own findings.
  7. The Partner may appeal within 14 days of receiving the decision. The Operator decides within 14 days and gives reasons.

§6. Payouts

  1. Payouts are made on the 5th day of each month, provided the balance of due commission is at least PLN 100. A lower balance rolls over to the following month.
  2. Protection period: commission becomes due 30 days after the Company paid the invoice. This period covers refunds and chargebacks (§2b).
  3. Payout requires both an approved partner agreement and bank details on file. Until these are provided, commission stays on the Partner's balance and is not forfeited.
  4. Payment is made against a correctly issued invoice from the Partner covering the commission due for the period. The Operator provides a statement in the panel to base that invoice on.
  5. Payouts are made in Polish zloty (PLN) by bank transfer to the account provided by the Partner. Transfer costs are borne by the Operator.
  6. Settlement complaints may be raised within 30 days of the statement being made available, in any form including e-mail. The Operator responds within 14 days.

§6a. Settlement by credit (Participant without a business)

  1. A Participant who does not run a business accumulates commission as a balance which is converted into credit towards their own LocaYo purchases — subscription, listing boosts and other paid features of the platform.
  2. Conversion happens on the Participant's request in the panel. The Operator issues a one-off discount code for the amount converted, usable at checkout on LocaYo.
  3. Only balance past the 30-day protection period counted from the day the Company paid its invoice is available for conversion (§6(2)).
  4. The credit is a reduction in the price of services the Participant buys. It is not monetary remuneration and cannot be paid out, exchanged for cash or transferred to anyone else.
  5. Unconverted balance is not forfeited and remains available for as long as the Participant takes part in the Program.
  6. A Participant may switch to invoice settlement at any time after registering a business and providing a tax number. Balance accumulated before the switch remains available as credit.
  7. The Participant assesses and performs any tax obligations relating to the credit received. The Operator is not a tax or social-security remitter for the Participant.

§7. Referral code and attribution

  1. The Partner receives an individual referral code and link upon joining the Program.
  2. A Company is attributed to the Partner based on the code used at registration or stored in the locayo_ref cookie with a 90-day lifetime (last-touch model). Where these differ, the code actually entered at registration prevails.
  3. A Company registering with a Partner code receives 30 days free and then 50% off for 3 consecutive billing periods. This applies to new Companies only (§5(2)).
  4. The code is personal to the Partner and may not be transferred, resold or shared. A change of the Partner's details may not result in a change of the Partner itself.

§8. Termination

  1. Either party may terminate this agreement on 30 days' notice, in any form including e-mail.
  2. Termination does not deprive the Partner of recurring commission on Companies referred before termination — it continues for as long as the Company pays, at the tier applicable on the termination date.
  3. The Operator may terminate with immediate effect only in the event of:
    • a serious breach of §4 or §5, in particular conduct amounting to fraud;
    • action to the detriment of the Operator or its customers;
    • false registration details or refusal to document them (§3(3));
    • loss of the Partner's status as a business.
    A termination notice states the factual grounds relied on.
  4. Commission accrued up to the termination date remains payable and is settled in the next cycle, subject to §5(5) (reversal of commission from referrals affected by a breach) and §2b.
  5. The Operator may discontinue the Program as a whole on 30 days' notice, settling commission accrued up to that date.

§9. Changes to these Terms

  1. The Operator notifies the Partner of proposed changes by e-mail at least 30 days before they take effect, stating what changes and from when.
  2. Changes may be made only for a valid reason. The list of valid reasons is closed and comprises:
    • a change in law, or in its interpretation following rulings, decisions or guidance of authorities;
    • the need to align the Program with orders, decisions or guidance of competent authorities;
    • a change in settlement rules imposed by payment providers or cooperating entities;
    • a change in the scope, pricing or functionality of the LocaYo services covered by the Program;
    • a documented change in service costs or in the economics of the Program justifying a change of commission rates;
    • countering established abuse within the Program;
    • correcting obvious mistakes, inconsistencies or gaps in these Terms.
  3. A change of commission rates applies only to invoices paid by Companies after the change takes effect (§2(6)). Commission accrued earlier is unaffected.
  4. A Partner who does not accept the changes may terminate before they take effect, with effect on that date, retaining the rights under §8(2) and §8(4). Failure to terminate within that period constitutes acceptance.
  5. Earlier versions of these Terms remain available from the Operator on request.

§10. Personal data

  1. The Operator is the controller of the Partner's personal data, processed to perform this agreement (Article 6(1)(b) GDPR), for settlement and tax obligations (Article 6(1)(c) GDPR) and to prevent abuse, which constitutes the Operator's legitimate interest (Article 6(1)(f) GDPR).
  2. Settlement data is retained for the period required by tax law; other data for the term of the agreement and the limitation period for claims.
  3. The Partner has the rights set out in the GDPR, including access, rectification, erasure, restriction, portability and objection, as well as the right to lodge a complaint with a supervisory authority.
  4. The Partner is a separate controller of the data of people it contacts in its own promotional activity, and is responsible for the lawfulness of that processing.
  5. Details are set out in the Privacy Policy.

§11. Liability

  1. The Operator is liable to the Partner for actual loss; liability for lost profits is excluded and total liability is capped at the commission paid to the Partner in the 12 months preceding the event. These limits do not apply to loss caused intentionally, nor where mandatory law excludes them.
  2. The Operator does not guarantee any level of Partner earnings or number of Companies referred. Materials showing example calculations are illustrative.
  3. The Partner is liable to the Operator for loss arising from a breach of §4 and §5, including penalties and proceedings costs imposed on the Operator as a result of the Partner's unlawful conduct.

§12. Final provisions

  1. This agreement is governed by Polish law. That choice does not deprive the Partner of protection under the mandatory rules of its country of establishment.
  2. Disputes are resolved by the court having jurisdiction under general rules. This does not limit the rights of a Partner who is a natural person running a business for whom this agreement is not of a professional character (Article 3855 of the Polish Civil Code).
  3. The Partner may not assign its rights and obligations under this agreement without the Operator's prior consent, given at least in documentary form.
  4. If any provision is invalid, the remainder stays in force and is supplemented by the provision closest to the economic purpose of the agreement.
  5. Entry into force: the agreement binds from the moment the Partner accepts these Terms in the LocaYo panel. No separate paper signature is required. A signed partner agreement is a condition of payout (§6(3)), not a condition of joining the Program.
  6. Program contact: LocaYo Help Centre.
